WEBSITE TERMS OF SERVICE

1. These Website Terms of Service (these “Terms”) govern your access to and use of the website at www.audiopulse.org and its related pages, forms and features (the “Website”). The Website is operated by AudioPulse LLC, a Wyoming limited liability company (“AudioPulse”, “we”, “us” or “our”).

These Terms apply to everyone who uses the Website (“you”), including:

Listeners and other visitors who browse the Website and follow links to listen to Audio Programs (“Listeners”);

Authors, publishers, estates, agents and other persons who own or control rights in a Literary Work and who enquire about, or use, AudioPulse’s services (“Rights Holders”);

Advertisers, agencies, sponsors and other businesses that enquire about advertising, sponsorship or partnerships (“Advertisers”); and

Any other person.

By accessing or using the Website, or by submitting any form via the Website, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not access or use the Website.

2. DEFINITIONS

In these Terms, the following defined words shall have the following meanings attributed to them below:

“Audio Program(s)” means any podcast, serialized audio program or other audio production created, hosted, distributed or commercialized by or for AudioPulse from a Literary Work;

“Catalogue” means the directory of Literary Works and Audio Programs listed on the Website, including titles, author or pen names, descriptions, cover art and links;

“Literary Work(s)” means a book, manuscript or other literary work, and its related text, artwork and metadata;

“Master Agreement” means the Master Services Agreement (together with its Schedules, Project Orders and addenda) between AudioPulse and a Rights Holder;

“Podcast Channels” means third-party podcast platforms, directories, apps, streaming and video services and other channels on which Audio Programs are made available (for example, Spotify and Apple Podcasts); and

“Third-Party Content” means any Literary Work, text, title, author or pen name, cover art, artwork, image, trademark, description or other material owned by, or licensed from, anyone other than AudioPulse that appears on the Website or in the Catalogue, including material supplied by or on behalf of Rights Holders.

3. THE WEBSITE

The Website is a free, informational directory of Audio Programs. It links to Podcast Channels where Audio Programs can be heard. The Website does not host or stream audio, and has no user accounts, logins, comments, reviews, forums or other features that allow visitors to post content publicly.

Information Only. Website content is provided for general information purposes only. Nothing on the Website is legal, financial, tax or other professional advice, an offer capable of acceptance, or a promise of exposure, audience, listeners, advertising or revenue.

Eligibility. Anyone may browse the Website. However, submitting a form, dealing with AudioPulse as a Rights Holder or Advertiser, and entering into any agreement is limited to persons who are at least eighteen (18) years old (or the age of majority where they live) and who have full legal capacity and authority. The Website is not directed to children under thirteen (13) years old (or under any higher age set by local law), and children should not submit personal information through the Website. Parents and guardians are responsible for supervising children’s use of the Website and of Podcast Channels.

Changes and Availability. We may modify, suspend, restrict or discontinue the Website or any part of the Website, and may add, change or remove any Catalogue listing, at any time, without notice or liability. We do not guarantee that the Website will be continuously available or error-free, or that any Literary Work or Audio Program will be listed or will remain available.

4. RELATIONSHIP TO OTHER AGREEMENTS

Rights Holders. Using the Website does not grant, transfer or license any rights to or from you. Rights in a Literary Work are granted to AudioPulse only under a Master Agreement and an accepted Project Order. If these Terms conflict with a Master Agreement about AudioPulse’s services, the Master Agreement prevails; these Terms continue to govern your use of the Website itself.

Inquiries. Submitting a form, email, upload or other inquiry does not create a contract, does not oblige AudioPulse to respond to, accept, produce, distribute or list any Literary Work, and does not amend any Master Agreement. A Literary Work is accepted only when AudioPulse expressly accepts a Project Order in writing or through its designated electronic process.

Advertisers. The Website does not offer self-serve advertising, and these Terms are not a media-buy, insertion-order or commercial agreement. A direct advertising or sponsorship arrangement exists only under a separate written agreement signed or accepted by AudioPulse, which will govern rates, invoicing, payment and cancellation.

Listeners. Audio Programs are listened to on Podcast Channels, not on the Website. Your use of a Podcast Channel is governed by that channel’s own terms and policies. These Terms govern the Website only.

5. DIGITALLY NARRATED CONTENT

Digital Narration. Audio Programs are produced using artificial intelligence (AI) and digital narration technologies, including AI-generated synthetic voices, unless an Audio Program states otherwise. Synthetic narration is not a recording of a human reader and is not intended to depict or imitate any real person unless expressly stated.

Nature of Audio Programs. Audio Programs are serialized audio adaptations of Literary Works, not studio-narrated audiobooks. They may be divided into episodes, formatted or edited for technical, legal, accessibility or platform reasons, and may contain variations in voice, pronunciation, phrasing or pacing. Errors may occur. An Audio Program is not a substitute for the original Literary Work.

Podcast Channels may apply their own AI labels or disclosures. Where applicable law or a Podcast Channel’s rules require AudioPulse to label or disclose AI-generated content, AudioPulse will do so.

Literary Works reflect the views of their authors and Rights Holders. Audio Programs and Catalogue listings do not represent AudioPulse’s views and are not an endorsement by AudioPulse of any Literary Works.

6. THIRD-PARTY PLATFORMS AND LINKS

The Website links to Podcast Channels and other third-party websites and services that AudioPulse does not own or control. You acknowledge and understand that such Podcast Channels’ terms, privacy policies, age restrictions, content ratings, AI labelling and data practices apply when you use them. AudioPulse does not endorse the Podcast Channels and is not responsible for their content, availability, security, advertising or conduct. You use them at your own risk.

Podcast Channels, not AudioPulse, are responsible for age-appropriateness settings, content ratings and any age verification on their services.

Spotify, Apple and all other third-party names, logos and trademarks are the property of their respective owners, are used only to identify the relevant services, and do not indicate any affiliation with, or endorsement by, those owners.

7. CATALOGUE AND THIRD-PARTY CONTENT

Ownership. All Third-Party Content remains the property of its respective owners. The appearance/display of any Third-Party Content on the Website does not transfer any ownership, and does not imply endorsement of, or affiliation with, AudioPulse or the Website.

Third-Party Content is displayed in the Catalogue on the basis of the rights, licenses, consents and representations given by Rights Holders under their Master Agreements and, in the case of titles and author or pen names, to identify the relevant Literary Work. AudioPulse’s onboarding checks are carried out for AudioPulse’s own purposes. They are not a legal opinion, and AudioPulse does not warrant to you or anyone else the ownership, originality, accuracy, legality or non-infringement of any Third-Party Content.

No Responsibility for Third-Party Ownership. To the maximum extent permitted by law, AudioPulse is not responsible or liable to you or any other person if any Literary Work, cover art, title, author name or other Third-Party Content appearing on the Website or in the Catalogue is owned or claimed by someone other than the person who submitted it, or is alleged to infringe or violate any right. This does not limit any right that a rights owner has against any person under applicable law. Anyone who believes their rights are affected should use the procedure specified under Section 12 (PRIVACY POLICY) of these Terms, and AudioPulse will act accordingly in relation to valid notices.

8. ACCEPTABLE USE OF WEBSITE

You may use the Website only for lawful purposes and in the manner intended, which include browsing the Catalogue, following links to Podcast Channels and sending genuine inquiries.

You must not:

Violate any law, or infringe or misappropriate any third party’s rights;

Impersonate any person, misrepresent your identity, affiliation or authority, or claim rights in a Literary Work that you do not own or control;

Submit false, misleading or incomplete information through any form;

Use bots, crawlers, scrapers or other automated means to access the Website, except for (i) ordinary search-engine indexing and (ii) reasonable, non-disruptive collection of publicly listed Catalogue information (such as titles, author names and links), which AudioPulse does not object to, subject to Section 8.3;

Circumvent, disable or interfere with any security feature, rate limit, robots.txt instruction, geographic restriction or other technical protection, or probe, scan or test the Website’s vulnerabilities;

Overload, disrupt, damage or impair the Website, or introduce malware or other harmful code;

Use the Website’s forms to send spam or bulk, unsolicited or promotional messages;

Harvest or collect personal information about other people from the Website;

Copy, rip, record, download, redistribute or rebroadcast any Audio Program except as the relevant Podcast Channel’s terms permit;

Artificially inflate or manipulate downloads, listens or engagement for any Audio Program; or

Frame or mirror the Website or use it in any way that suggests AudioPulse’s sponsorship or endorsement.

AudioPulse may, in its sole discretion, investigate suspected violations, block access (including by IP address), reject or delete submissions, and report unlawful activity to the authorities.

9. INTELLECTUAL PROPERTY

AudioPulse’s Intellectual Property Rights. As between you and AudioPulse, AudioPulse owns or licenses the Website, its design and code, the names, logos and branding of AudioPulse (the “AudioPulse Marks”), and the sound recordings and production of the Audio Programs (subject to the rights of the owners of the underlying Literary Works). AudioPulse grants you a limited, non-exclusive, non-transferable, revocable license to view and use the Website solely for its intended purposes.

AudioPulse Marks. You may not use, copy or imitate the AudioPulse Marks without AudioPulse’s prior written consent, other than to link to the Website or to refer to AudioPulse accurately and fairly.

Catalogue Information. AudioPulse does not object to others listing, referencing, linking to or republishing factual Catalogue information (such as titles, author names and links to Audio Programs on Podcast Channels), provided that you do not use the AudioPulse Marks, do not imply any affiliation with or endorsement by AudioPulse, and do not copy cover art, descriptions or other Third-Party Content, or any Audio Program, without the permission of its owner. This Section is not a license to any Third-Party Content, Audio Program or Literary Work.

Feedback. If you send AudioPulse suggestions or feedback about the Website or its services, AudioPulse may use them freely, without obligation or compensation to you.

All rights not expressly granted in these Terms are reserved by AudioPulse.

10. INQUIRIES AND SUBMISSIONS

Forms. The Website’s contact and inquiry forms collect information such as your name, email address, company name (for business inquiries) and book details. Submissions are delivered to AudioPulse by email or through a form-management tool and are handled under our Privacy Policy.

Information you submit must be accurate and complete, and you must have the right to submit it, including any personal information about other people and any Third-Party Content.

Sensitive Materials. Do not send manuscripts, identity documents, tax or financial information, or other sensitive or confidential material through the Website’s forms. AudioPulse will request what information we need through our onboarding process.

Unless and until a Master Agreement or a written non-disclosure agreement is in place, AudioPulse has no obligation of confidentiality in respect of information you submit through the Website. You grant AudioPulse a non-exclusive, worldwide, royalty-free license to use, store and reproduce what you submit for the purpose of evaluating and responding to your inquiry and operating the Website. AudioPulse may independently develop or offer services similar to those you describe without any obligation to you.

No obligation. AudioPulse may decline to respond to, or act on, any inquiry for any reason.

11. ADVERTISING AND BUSINESS INQUIRIES

Advertising in Audio Programs. Advertising appears within Audio Programs, principally through programmatic dynamic ad insertion, and not on the Website. Ads may vary by listener, time, location and platform. AudioPulse controls whether, where and how ads run.

Direct inquiries. Advertisers interested in a direct arrangement may contact AudioPulse through the Website’s contact form. No direct campaign exists unless and until AudioPulse and the Advertiser sign or accept a separate written agreement.

Advertising Standards. All advertising, whether direct or programmatic, is subject to AudioPulse’s Advertising Standards. AudioPulse may reject, block, remove or replace any advertisement at any time. AudioPulse uses reasonable efforts to restrict harmful, discriminatory or unlawful advertising, but cannot guarantee that none will appear, particularly where ads are served by third-party networks or exchanges.

No endorsement. Advertisements are the responsibility of the advertiser. Their appearance in or alongside an Audio Program does not mean that AudioPulse or the relevant Rights Holder endorses the advertiser or its products or services.

12. PRIVACY POLICY

Our Privacy Policy at www.audiopulse.org/privacy explains how we collect, use and share personal information, including through cookies and similar technologies. By using the Website, you acknowledge the Privacy Policy. The Privacy Policy describes data handling only; it does not alter the parties’ rights and obligations under any Master Agreement.

13. COPYRIGHT AND COMPLAINTS

Notices of infringement. AudioPulse respects intellectual property rights. If you believe that material on the Website, in the Catalogue, or in an Audio Program listed on the Catalogue infringes your copyright, please send a written notice to AudioPulse at contact@audiopulse.org, containing:

Your physical or electronic signature;

Identification of the copyrighted work you claim is infringed;

Identification of the material you claim is infringing, with enough detail (such as a URL) for us to locate it;

Your name, address, telephone number and email address;

A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law; and

A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner’s behalf.

On receiving a valid notice, AudioPulse may promptly remove or disable access to the material, unlist or suspend the relevant Audio Program, notify the Rights Holder who submitted the material and forward a copy of the notice, and exercise its rights under the relevant Master Agreement.

If material was removed and you believe that was a mistake or a misidentification, you may send a written counter-notice to the same address containing: (a) your physical or electronic signature; (b) identification of the removed material and where it appeared before removal; (c) a statement, under penalty of perjury, that you have a good-faith belief that the material was removed by mistake or misidentification; and (d) your name, address and telephone number, a statement that you consent to the jurisdiction of the federal district court for the judicial district of your address (or, if your address is outside the United States, any judicial district in which AudioPulse may be found), and a statement that you will accept service of process from the person who submitted the original notice. AudioPulse may forward the counter notice to the complainant and, unless the complainant notifies AudioPulse within ten (10) business days that it has filed a court action, may restore the material within ten (10) to fourteen (14) business days after receiving the counter notice.

In appropriate circumstances, AudioPulse will terminate its relationship with, and decline to list Literary Works from, Rights Holders who are repeat copyright infringers.

False Notices. Knowingly misrepresenting that material is infringing, or that it was removed by mistake or misidentification, may make you liable for damages, costs and attorneys’ fees under 17 U.S.C. § 512(f).

Other Complaints. For complaints about trademark, privacy, defamation, moral rights, or personality rights, email contact@audiopulse.org with a description of the material, its location and the basis of your complaint. AudioPulse will review it in accordance with applicable law and may act in its sole discretion.

AudioPulse does not adjudicate ownership disputes. Any action AudioPulse takes, or declines to take, is not an admission of liability or a legal determination.

14. DISCLAIMERS

THE WEBSITE, THE CATALOGUE AND ALL CONTENT ON THEM ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDIOPULSE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

Without limiting Section 13.1 (Notices of infringement), AudioPulse does not warrant or guarantee: (a) the accuracy, completeness or currency of any Catalogue listing or other Website content; (b) the accuracy, quality or fidelity of any digitally narrated Audio Program; (c) that any Literary Work or Audio Program will be listed or will remain available; (d) the content, availability or conduct of any Podcast Channel or other third party; (e) the content of any Literary Work or advertisement; or (f) any audience, exposure, listener numbers or revenue.

You are responsible for your own decisions in using the Website. Nothing on the Website is professional advice.

Some jurisdictions do not allow certain warranties to be excluded. In those jurisdictions the exclusions above apply only to the extent permitted by law.

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDIOPULSE AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS AND SERVICE PROVIDERS (THE “AUDIOPULSE PARTIES”) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, REPUTATION OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE WEBSITE, THE CATALOGUE, ANY AUDIO PROGRAM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE AUDIOPULSE PARTIES ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US$100).

Nothing in these Terms excludes or limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded or limited, and nothing affects any mandatory consumer rights you have under the law of your country of residence.

For Rights Holders, the limitation-of-liability, indemnity and related provisions of the Master Agreement govern AudioPulse’s services; this Section applies to your use of the Website.

Any claim arising out of or relating to the Website or these Terms must be brought within one (1) year after it arises, or it is barred, except where a different period is required by non-waivable law.

16. INDEMNITY

To the extent permitted by law, if you use the Website in the course of business, or as a Rights Holder or Advertiser, you will defend, indemnify and hold harmless the AudioPulse Parties from all claims, losses, liabilities, damages, penalties and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your unlawful use of the Website, or any information or Third-Party Content you submit. This Section does not apply to a person acting solely as a consumer where applicable law prohibits it. A Rights Holder’s indemnities under a Master Agreement apply in addition and prevail in case of conflict.

17. GOVERNING LAW AND DISPUTES

These Terms, and any dispute arising out of or relating to the Website, are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules.

Informal Resolution. Before starting formal proceedings, you must send AudioPulse a written notice of the dispute at contact@audiopulse.org, and the parties will try in good faith to resolve it within thirty (30) calendar days.

Courts. Subject to Sections 17.5 (Consumers) and 17.6 (Rights Holders), any dispute not resolved informally will be brought exclusively in the state courts located in Laramie County, Wyoming, or the United States District Court for the District of Wyoming, and each party submits to the personal jurisdiction and venue of those courts. Either party may seek urgent injunctive or equitable relief in any competent court to protect intellectual property or confidential information.

To the maximum extent permitted by law, you may bring claims only in your individual capacity and not as a plaintiff or class member in any class, collective or representative proceeding.

Consumers. If you use the Website as a consumer and the mandatory law of your country of residence gives you rights that cannot be waived (including the right to bring proceedings in your local courts or to rely on your local consumer law), nothing in these Terms removes those rights.

Rights Holders. Disputes between AudioPulse and a Rights Holder relating to AudioPulse’s services are governed exclusively by the dispute-resolution provisions of the Master Agreement, including its arbitration clause.

18. GENERAL PROVISIONS

Changes to these Terms. AudioPulse may update these Terms at any time by posting the updated version on the Website with a new “Last Updated” date. Updates take effect on posting (or any later date stated), and your continued use of the Website after that date means you accept them. Changes to a Master Agreement are governed by that agreement.

Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and AudioPulse regarding the Website and replace all prior understandings about it.

Severability and Waiver. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions stay in effect. A failure to enforce a provision is not a waiver of it.

Assignment. AudioPulse may assign or transfer these Terms, in whole or in part, to an affiliate or to a successor or acquirer in connection with a merger, sale of assets or business, financing or change of control, without notice to or consent from you. You may not assign these Terms without AudioPulse’s prior written consent.

Electronic Communications. You consent to receive notices from AudioPulse electronically, including by email or by posting on the Website. Electronic records and acceptance are effective to the fullest extent permitted by law.

Sanctions and Compliance. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S., EU or UK sanctions, and that you are not on any applicable restricted-party list. You are responsible for complying with the laws that apply to your use of the Website.

Force Majeure. AudioPulse is not liable for any failure or delay caused by events beyond its reasonable control.

Third-Party Beneficiaries. Except for the AudioPulse Parties, no third party has any rights under these Terms.

Language and Construction. These Terms are written in English, and the English version controls over any translation. Headings are for convenience only. Provisions that by their nature should survive the discontinuation of the Website will survive.
